Reminder: Mandatory Electronic Filing of Form D
Started March 16, 2009

         Effective March 16, 2009, issuers will be required to file Form Ds, notice filings of private securities offerings, electronically with the Securities and Exchange Commission (SEC) through EDGAR.  Formerly, issuers were permitted to satisfy the notice filing requirement of Rule 503 of Regulation D by submitting paper filings to the SEC.  The electronically filed Form Ds are also now publicly available for searching and viewing through the SEC's Web site.
