Professional Experience:
Jennifer Rhodes' primary area of concentration is in private equity fund formation and operations, venture capital and private equity financings, mergers and acquisitions, and general corporate matters.

She represents many venture capital and private equity funds in connection with their fund formation and governance activities and their portfolio investment transactions. Rhodes' experience ranges from the formation and capitalization of, and investment transaction structuring for, funds of funds, buyout funds, seed funds, mezzanine funds, venture capital funds and SBIC funds. In connection with that representation, she advises clients on investment strategies, federal and state securities law issues, including various private offering exemptions and Investment Company Act and Investment Advisers' Act issues, ERISA issues, and various tax issues, particularly as they relate to tax-exempt investors. Rhodes works with a number of public pension funds in connection with their alternative investment portfolios. She also works with a number of individual investors in connection with their private investment portfolios and regularly counsels seed and early-stage companies on their financing needs. In addition to her venture capital and private equity transaction experience, she represents a number of companies in connection with merger and acquisition transactions and frequently advises companies on general corporate governance matters.

Rhodes graduated from Indiana University in 1996, where she received her Bachelor of Science in accounting, summa cum laude and with departmental honors. Immediately following, she passed the Uniform CPA Examination and spent time working with the legal department of the Indiana Department of Revenue and the accounting firm of KPMG Peat Marwick LLP. In 1999, Rhodes earned her juris doctorate, magna cum laude, from Indiana University School of Law-Bloomington, where she was inducted as a member of the Order of the Coif and the Order of Barristers. While in law school, she served as an articles editor for the Indiana Law Journal, was a finalist in the Sherman Minton Moot Court competition, competed on Indiana University's external moot court team and was a member of Delta Theta Phi legal fraternity.

She joined Ice Miller in June 1999 and was admitted to the Indiana bar in 1999.
