Professional Experience:
Stephen J. Hackman is a partner at Ice Miller. His practice concentration is in federal and state securities law, including capital formation (registered public and exempt private offerings) and federal and state reporting and compliance; mergers and acquisitions; structured finance; commercial lending; and general corporate matters.

His clients are involved in a variety of industries, including gaming, medical devices, chemical manufacturing, health care, finance, contract research, auto dealer financing and automobile redistribution. Hackman regularly provides advice to those clients in connection with strategic acquisitions and dispositions, public and private financings, securities law disclosure and compliance issues and corporate governance matters.

A significant portion of Hackman’s practice is devoted to representing public companies and he regularly advises registered and private issuers regarding public and private equity and debt offerings, acquisition strategies, disclosure issues, and periodic reporting and exchange rules compliance. He has acted as lead counsel for public and private issuers in connection with public offerings of equity and debt, private debt offerings resold under Rule 144A, acquisitions of public and private companies using cash and/or equity securities, defense of hostile tender offers, structured finance transactions involving securitizations and conduit financing of receivables, the establishment of bank credit facilities and general corporate governance matters.

Hackman, a native of Indianapolis, Ind., graduated with high distinction from Indiana University in 1981, earning a Bachelor of Science in management and administration. He holds a juris doctorate from the Indiana University School of Law-Bloomington, where he graduated, magna cum laude, Order of the Coif, in 1984. While in law school, he was a member of the editorial staff of the Indiana Law Journal.
