Full Biography: Kristine Camron Danz

Kristine concentrates her practice in three areas. First, Kristine assists clients in connection with equity and debt financing transactions. Kristine has represented both sides of the deal table. She represents many private equity and venture capital funds in connection with their portfolio investment transactions and their fund formation and governance activities. In addition, Kristine also regularly counsels seed and early-stage companies on their financing needs. She has represented issuers in a variety of transactions, ranging from relatively straightforward "friends and family" equity rounds and senior loan financings to larger equity raises with venture capital funds in amounts ranging from $2 million to $25 million, to multi-tiered equity and debt financings involving equity, senior debt and mezzanine debt tranches. Kristine has participated in approximately 100 venture capital financings, private equity or debt placements in the past five years and several private equity fund formations.

Kristine is also an active mergers and acquisitions lawyer. She has participated in more than 50 completed transactions and has led approximately 30 transactions since 2004. Since that time, she has represented the seller about 70% of the time and the buyer about 30% of the time. Approximately 60% of the transactions have involved private equity funds and the remaining 40% have involved strategic buyers. Transaction size has ranged from less than $20 million to $200 million, with the majority being $100 million or less. Kristine has participated in transactions involving companies in a variety of industries, with at least four in each of the following industries: medical device, consumer products and services, transportation and logistics, as well as software and technology.

Finally, Kristine helps high-growth, privately-owned companies in their efforts to grow their businesses. Many of her clients do not employ in-house counsel and Kristine serves as the primary legal advisor to the Board of Directors and CEOs of these companies. She serves both as lead lawyer on issues involving commercial contracts, financing, corporate governance and acquisitions/joint ventures and manages the legal function for projects involving litigation, labor and employment matters and other issues outside her areas of substantive experience.

Kristine graduated from Michigan State University in 1993 and from The University of Michigan Law School in 1997. Kristine is a native of Southeastern Michigan and moved to Indianapolis after graduating law school to join Ice Miller with the goal of becoming the next "Jerry McGuire" and developing a sports agency practice. A twist of fate intervened and during her first two years of practice, the private equity market was in the middle of the "Tech Boom" and Kristine found herself representing capital providers in connection with their investments in technology and life science companies. Much to her surprise, she loved the private equity work and since those days a primary focus of her practice has been in the private equity and venture capital industry.

Kristine currently serves on the program planning committee for the Indiana chapter of the Association for Corporate Growth, the premier global association for professionals involved in corporate growth, corporate development, and mergers and acquisitions. In addition, Kristine serves on the Board of Directors of Little Red Door Cancer Agency and Lacy Leadership Association.

Kristine was recognized in 2009 as Rising Stars in the Indiana Super Lawyers. In addition, she was selected for inclusion in the 2006 class of the Indianapolis Business Journal's "Forty Under 40" and was a two-time finalist for KPMG's "Indy's Best & Brightest" in the legal category.

Kristine gives frequent speeches on topics of interest to growth companies, including choice of entity, negotiating transactions and structuring venture capital and private equity financings. She is admitted to practice law in the State of Indiana.
