Professional Experience:
Kristine C. Danz is a founding member of the Ice Miller Private Equity and Venture Services Group.
Danz concentrates her practice in three areas. First, she assists clients in connection with equity and debt financing transactions. Danz has represented both sides of the deal table. She represents many private equity and venture capital funds in connection with their portfolio investment transactions and their fund formation and governance activities. In addition, she also regularly counsels seed and early-stage companies on their financing needs. She has represented issuers in a variety of transactions, ranging from relatively straightforward "friends and family" equity rounds and senior loan financings to larger equity raises with venture capital funds in amounts ranging from $2 million to $25 million, to multi-tiered equity and debt financings involving equity, senior debt and mezzanine debt tranches. Danz has participated in approximately 100 venture capital financings, private equity or debt placements in the past five years and several private equity fund formations.
She is also an active mergers and acquisitions lawyer. She has participated in more than 50 completed transactions and has led approximately 30 transactions since 2004. Since that time, she has represented the seller about 70 percent of the time and the buyer about 30 percent of the time. Approximately 60 percent of the transactions have involved private equity funds and the remaining 40 percent have involved strategic buyers. Transaction size has ranged from less than $20 million to $200 million, with the majority being $100 million or less. Danz has participated in transactions involving companies in a variety of industries, with at least four in each of the following industries: medical device, consumer products and services, transportation and logistics, as well as software and technology.
Finally, Danz helps high-growth, privately-owned companies in their efforts to grow their businesses. Many of her clients do not employ in-house counsel and she serves as the primary legal advisor to the board of directors and CEOs of these companies. She serves both as lead lawyer on issues involving commercial contracts, financing, corporate governance and acquisitions/joint ventures and manages the legal function for projects involving litigation, labor and employment matters and other issues outside her areas of substantive experience.
Danz graduated from Michigan State University in 1993 and from the University of Michigan Law School in 1997. She is a native of Southeastern Michigan and moved to Indianapolis after graduating law school to join Ice Miller with the goal of becoming the next "Jerry McGuire" and developing a sports agency practice. A twist of fate intervened and during her first two years of practice, the private equity market was in the middle of the "Tech Boom" and Danz found herself representing capital providers in connection with their investments in technology and life science companies. Much to her surprise, she loved the private equity work and since those days a primary focus of her practice has been in the private equity and venture capital industry.
Danz currently serves on the program planning committee for the Indiana chapter of the Association for Corporate Growth, the premier global association for professionals involved in corporate growth, corporate development and mergers and acquisitions.
She is admitted to practice law in the state of Indiana.
