Adam Calisoff is a partner in the Chicago office of Ice Miller LLP. His practice involves representing private equity firms and privately held businesses in mergers, acquisitions and divestitures. Adam also serves as outside general counsel for a number of portfolio companies of private equity clients as well as privately held businesses. Adam counsels clients in their day-to-day legal needs, including contract negotiation, strategic planning and add-on acquisitions. Adam structures, negotiates and documents a wide variety of commercial agreements and problem-solves for clients. He has extensively counseled franchisors in the establishment and the day-to-day operation of franchise systems, as well as periodic disclosure requirements. This background has enabled him to help clients navigate the purchases and sales of franchise systems. Adam has also represented lenders and borrowers in the documentation and negotiation of a variety of senior and mezzanine credit facilities.
Adam is a regular speaker at the Chicago Bar Association concerning the federal and state rules surrounding private placements of securities.
