This introductory level seminar is designed to provide lawyers, accountants and other professionals with the knowledge to better assist their clients in preparing acquisition documents, understanding the transaction process, and successfully closing the underlying acquisition transaction. This seminar will do this by providing a 'nuts and bolts' overview of acquisition documentation and the acquisition process, including the role that such documents play in the acquisition process, the principal types acquisition documents, the use of such documentation to discover and deal with common transaction problems, the place for and the role of due diligence, and the varying roles that lawyers, accountants and other professionals play in this process. You will come away from this seminar with a better understanding of the important role of the documents needed for and the documentation process in any acquisition transaction. You will take a look at the various types of acquisition transactions, examine various alternatives to the standard stock or asset purchase transactions, and review the fundamental economic and legal reasons for choosing the type of transaction. Give yourself the tools you need to draft acquisition documents, understand the principal issues in such transaction, and to successfully close acquisition transactions.
