Private Equity Associate – New York
Ice Miller is seeking a private equity attorney with 4 or more years of law firm experience to join our New York office. Successful candidates will work with our busy Private Equity team in New York representing middle market and lower middle market private equity funds, private debt funds, SBICs, BDCs, family offices and independent sponsors in their investment strategies, including leveraged buyouts, mergers and acquisitions, senior and mezzanine debt financings, structured equity investments, growth capital transactions, early and late stage private equity investments and secondary transactions. Intellectual Property Technical Advisor -- Philadelphia
Ice Miller is seeking a Technical Advisor to join our Philadelphia office who is well-versed in molecular or cell biology, microbiology, genetics, and preferably also organic chemistry. The Technical Advisor will provide technical expertise and assistance with research and analysis to be used in freedom to operate and due diligence search and analysis projects as well as preparation and prosecution of patent applications. Candidates must have a Ph.D. degree and research experience in biological sciences. They should be capable of working in a fast-paced environment with time-sensitive materials, and maintain strict confidentiality due to the nature of the position.
 
In this position the Technical Advisor will:
  • Provide technical expertise to a highly-regarded and busy life sciences and pharmaceutical patent practice
  • Help conduct freedom to operate and/or IP due diligence search and analysis in support of the licensing and acquisitions and/or research and development of small- and large-molecule products 
  • Help prepare and prosecute patent applications
  • Research information to be used in opinions relating to patentability
  • Analyze and explain abstract scientific concepts and terms
  • Provide technical research and analysis with respect to matters pending before the U.S. Patent and Trademark office
  • Advise on technical components for patent interference and litigation proceedings

Software Transactional Attorney – Indianapolis, Columbus, Chicago
Ice Miller is seeking a mid-to-senior level attorney to join any of our 3 Midwest offices (Indianapolis, Columbus, or Chicago) to negotiate, draft, review, and revise software and other technology contracts. In this position, the attorney will have the opportunity to lead negotiations on a variety of software contracts including, but not limited to: SaaS, installed software, hosted software, large scale ERP systems and other software platforms, software development, implementation and integration services agreements and associated statements of work (SOWs), and other IP licensing and technology agreements. The attorney will act as a liaison to clients on these matters and to other team members who need support in reviewing and revising software contracts. A computer science or related degree (or substantial work experience involving software agreements) is required, and patent bar registration is a plus. Candidates must have strong communication skills suitable to live negotiations, a team-oriented mentality, be a motivated self-starter, and thrive in fast-paced work environments.

The candidate must have prior transactional experience, but prior public finance experience is preferred. Patent Attorney/Patent Agent – Philadelphia
Ice Miller seeks a patent attorney or patent agent with at least 2 years of experience preparing and prosecuting patents in a variety of life science, biotech, and pharmaceutical matters. The patent attorney/patent agent will work on all aspects of patent practice with particular focus on freedom to operate and due diligence search and analysis projects and preparation and prosecution of patent applications. Candidates must be registered patent agents or patent attorneys and have an advanced degree in organic chemistry or the biological sciences and research experience in biological sciences. They should be capable of working in a fast-paced environment with time-sensitive materials, and maintain strict confidentiality due to the nature of the position.

In this position, you will:
  • Provide technical expertise in life sciences or pharmaceutical patent practice
  • Conduct freedom to operate and/or IP due diligence search and analysis in support of the licensing and acquisitions and/or research and development of small- and large-molecule products 
  • Prepare and prosecute patent applications, and help develop strong patent portfolios for drug candidates
  • Liaise with clients and foreign associates regarding the domestic and foreign patent application processes and strategies
  • Communicate with the USPTO as necessary

Restructuring Associate – New York Office

Ice Miller is seeking an associate with 4 or more years of experience in bankruptcy, restructuring, and creditors’ rights and insolvency-related litigation in state and federal courts. Candidates should have a strong working knowledge of the Bankruptcy Code, local rules, UCC, and secured transactions. Because the practice is both litigation and transaction based, the candidate should have strong research, writing, and courtroom advocacy skills, along with ability to draft transactional documents as needed. Mid-to-Senior Level Corporate Attorney -- Columbus

Ice Miller is seeking a mid-to-senior level corporate attorney to join our Columbus office. In this position, you will have the opportunity to work on a broad range of general corporate and transactional work and the ability over time to define and focus their corporate practice of law.

Successful candidates will work with our business group across several offices representing clients in a variety of industries. Candidates should have broad-based corporate experience and significant experience drafting and reviewing a wide variety of corporate documents. Candidates also should have experience with general corporate matters and corporate transactions including, but not limited to mergers & acquisitions, securities, start-ups and emerging growth companies, seed and venture capital financings, and/or debt financings.

Candidates also must have a team-oriented mentality and be a motivated self-starter.

Mid-Level Life Sciences Transactional Attorney – New York, Philadelphia, Chicago, Columbus, or Indianapolis
Ice Miller is seeking a mid-level associate who will support clients in transactions in both academic and industry settings that include important and complex intellectual property issues, primarily in life sciences. 

Candidates must have 4-6 years of experience with a focus on licensing in life sciences, including pharmaceuticals and/or healthcare matters. Candidates should have a bachelor’s or advanced degree in a life sciences field and have a strong understanding of healthcare laws and regulations. 

In this position you will: 
  • Support a busy Life Sciences practice that counsels clients about transactional structures and intellectual property considerations from both legal and business perspectives
  • Draft a wide variety of transactions including: academic collaborations (in-licenses, sponsored research, research collaborations, clinical development collaborations, and consortiums) and industry collaborations (selective program/product/field/territory licensing, evaluation and option arrangements, R&D collaborations, manufacturing and process/formulation collaborations, and promotion and distribution agreements)
  • Work with the Intellectual Property Group and the Business Group with our private equity, venture capital, and mergers and acquisitions teams 
  • Handle matters related to pharmaceutical, healthcare, and life sciences regulatory issues
The ideal candidate will: 
  • Bachelor's or Advanced Degree in a life sciences or related field
  • Prior experience with licensing agreements in Pharmacy, Life Sciences, and/or Healthcare related matters
  • Excel in a team environment
  • Demonstrate a keen interest in developing and implementing relationship-building skills both internally and externally
  • Have prior experiences that prepare them to work with attorneys, staff and clients from cultures and backgrounds different from their own
  • Be highly motivated and a self-starter
  • Be flexible and able to thrive in a fast-paced, dynamic environment
  • Have excellent written and oral communication skills
  • Have excellent law school credentials and references

Successful candidates will work with our attorneys across several offices representing buy-side and sell-side clients in all forms of mergers, acquisitions, strategic alliances and financing transactions of all sizes. Candidates must have excellent written and oral communication skills, a team oriented mentality, and strong credentials.
