Unsolicited Takeovers Led Global M&A to $3.54 Trillion in 2017
Mergers and acquisitions had another strong year in 2017, reaching their third highest annual level since the 2008 financial crisis, as CEOs were emboldened by buoyant markets to pursue transformative deals, even when their targets resisted. Unsolicited takeover approaches helped push global M&A to $3.54 trillion in 2017, roughly in line with last year's $3.59 trillion, according to preliminary Thomson Reuters data.

V.C.-Backed Deals Experienced Record Year with 28% Increase
2017 was a record year for venture capital-backed deals, with 11,144 deals announced for an aggregate deal value of $182 billion. This marks a 28 percent increase in deal value compared to 2016, and surpasses the previous record of $148 billion set in 2015.

Value of Chinese Acquisitions of U.S. Tech Firms Down to $1.97B
Tightening capital controls in China and growing regulatory scrutiny of acquisitions of U.S. tech firms sent the total value of Chinese acquisitions in the sector plummeting 87 percent last year. The total value of disclosed deals dropped to $1.97 billion in 2017 from $14.97 billion in 2016, according to a recent report by 451 Research's M&A KnowledgeBase.

House Advances Corporate Governance Reform and Transparency Act
The U.S. House of Representatives advanced a bill designed to increase transparency in the shareholder proxy voting system. The Corporate Governance Reform and Transparency Act of 2017 (H.R. 4015) requires proxy advisory firms to register with the Securities and Exchange Commission, disclose potential conflicts of interest and codes of ethics, and make available to the public their methodologies for formulating proxy recommendations and analyses.

U.S. CEOs Paid Better Than Overseas Counterparts, Other Workers
Chief executive officers in the U.S. are paid much better than their peers abroad, and the gap between their compensation and that of average American workers is wider than in other countries. CEOs of the biggest publicly traded U.S. companies averaged $14.3 million in annual pay, more than double that of their Canadian counterparts and 10 times greater than those in India, according to a Bloomberg analysis that used benchmark stock indexes in 22 nations.

Potential Changes to H-1B Extensions Beyond Six-Year Limit

Consistent with the eventful start to 2017, the Department of Homeland Security (DHS) is reportedly considering a change to the temporary H-1B visa program as a part of the President's Executive Order "Buy American, Hire American."
