California First to Require At Least One Female Board Director
California became the first state to require its publicly held corporations to include women on their boards after Gov. Jerry Brown signed a bill into law. The bill, which applies to companies "whose principal executive offices" are in California, requires them to have at least one woman on their boards by the end of 2019.

IPOs Picking Up Pace, But Performance Found to Be Lagging
Initial public offerings are hot again, but their performance has been lukewarm, at least when compared with the S&P 500. There have been 155 IPOs priced in 2018, up nearly 50 percent from 2017, with $39.7 billion raised, up more than 60 percent. But as a group, IPO performance has started to lag behind.

Syndicated Lending Hits Record $185 Trillion So Far in 2018
U.S. syndicated lending is breaking records so far this year, even after a summer lull, as the voracious appetite by banks and investors to put money to work resumed after Labor Day. The $1.9 trillion of loans issued in the first nine months, to finance mergers and acquisitions, leveraged buyouts, dividends, and for debt refinancing, topped $1.85 trillion in the same period last year by three percent, setting an all-time high for any nine-month period, according to LPC.

Public Companies Seeing Uptick in Financial Restatements
The number of material accounting mistakes made by U.S. public companies declined every year since 2006, but preliminary data for this year indicate a reversal. During the first six months of 2018, 65 companies detected accounting mistakes significant enough to require them to restate and refile their entire financial filings to regulators, compared with 60 companies for the same period last year, according to Audit Analytics.

Employers Who Offer Paid Family, Medical Leave Get Tax Credits
Employers who offer paid family and medical leave to their workers earning up to $72,000 a year can receive tax credits under the new tax law, the government has affirmed. The Treasury Department issued guidelines for the tax credit, which is available to employers for leave paid this year and next.

Firms Reporting on Climate Change, But Not Disclosing Financials
Climate-related disclosure is becoming mainstream as more firms support and align their financial reporting to recommendations by a global task force, though few disclose the financial impact on the company, a survey shows. The Task Force on Climate-Related Financial Disclosures was set up by the G20's Financial Stability Board at the end of 2015 to develop a voluntary framework for companies to disclose the financial impact of climate-related risks and opportunities.

Online Sales Simplicity and Small Business Relief Act Unveiled
A new bi-partisan bill introduced in the U.S. House would create a federal framework for collecting state sales taxes on online sales, as required by the U.S. Supreme Court's Wayfair decision in June. The legislation is called the Online Sales Simplicity and Small Business Relief Act and was sponsored by Reps. Jim Sensenbrenner (R-Wis.), Anna Eshoo (D-Calif.), Jeff Duncan (R-S.C.) and Zoe Lofgren (D-Calif.).

Survey Finds Data Breaches Could Be Costly for Small Businesses
A new survey from Bank of America shines a spotlight on the increasing concerns -- and increasing costs -- of data breaches. According to the bank, 22 percent of consumers who have already had their personal or bank information stolen by a data breach said they would not shop at a small business that had fallen victim to a data breach.

Small Business Optimism Index Hits Record 108.8 in August
Small business optimism is at its highest level in at least 45 years, according to the National Foundation of Independent Business (NFIB)'s recently-released Small Business Optimism Index. The index reached 108.8 in August 2018, the highest in the survey's 45-year history, beating the previous record of 108 reached in July 1983.
