Representative Experience

Outside General Counsel and Regulatory Support:
  • Provides outside general counsel services with day-to-day legal support to several life sciences companies including:
    • a global medical device company (assisted with 4 add-on acquisitions) which was selected as one of the fastest growing Midwest life science companies by a local business journal;
    • a dental service organization, providing management and support services to pediatric dentists;
    • a company specializing in imaging services for Phase 1-4 trials around the world;
    • a contract research organization and research site focused on improving the scientific accuracy of analgesic programs;
    • an organization providing industry-leading regulatory and quality consulting for medical device and pharmaceutical companies;
    • an oncology research entity that was acquired by a global pharmaceutical corporation; which wanted to provide its subsidiary outside general counsel support;
    • a biotechnology company developing targeted, immune-enabling biologic therapies to counter persistent infections
    • a gene therapy biotechnology company with multiple therapeutics in the clinic and one on the market; and
    • a gene therapy biotechnology company focused on Parkinson's disease and other neurological conditions.
  • Provides ongoing regulatory support to global medical device and pharmaceutical companies by, among other things, reviewing advertising materials, counseling on product launches, assisting develop policies and procedures; and providing compliance training.
  • Has counseled a global pharmaceutical company regarding several clinical trial collaborations related to oncology, biologic and immunology therapies.
Transaction Counsel:
  • Represented sellers in a transaction involving the sale of its parenteral contract manufacturer subsidiary ($950MM);
  • Assisted a biopharmaceutical company on 10+ transactions including licensing, equity investments and acquisitions.
  • Seller’s counsel in a transaction involving the sale of the client’s largest independent clinical research site services company which focused on special populations and is a leader in central nervous system studies;
  • Transaction counsel for an early-stage biotechnology company developing therapies for rare neuromuscular and central nervous system diseases ($700MM);
  • Represented a diagnostics company with its sale to a national scientific instrumentation, company ($295MM)
  • Represented an Asian-based pharmaceutical company in a licensing transaction with a European-based pharmaceutical company;
  • Represented a global medical device company in multiple acquisitions including the acquisition of an entity that provides design and planning services and manufactures surgical guides and a corporation which manufactures a bone fixation system for treating multiple fractures;
  • Buyer’s counsel for several venture capital funds which focus on life science sector acquisitions including the acquisition and sale of:
    • ambulatory surgery center management companies;
    • clinical trial research companies; and
    • digital health software and hardware development companies.
  • Represented a global medical device company in several product line “carve-out” asset sales.
  • Represented a therapeutics company in connection with an asset purchase and licensing agreement with a company that develops therapies to treat inflammatory diseases and their related complications.
  • Represent a transgenic mouse company on numerous licensing and collaboration transactions.
  • Represented a biopharmaceutical company in numerous transactions including licensing, collaborations, equity investments, and acquisitions to facilitate their global expansion and expansion of their therapeutic portfolio.
  • Represented a biotechnology company in its licensing and Series Seed financing to support its development of biologic therapies to counter persistent infections associated with antibiotic resistance.
  • Legal counsel to a technology company in the negotiation and execution of a Distribution Agreement with a Chinese distributor for certain medical devices for the interventional cardiology market.
Financing:
  • Counseled multiple medical device and biotechnology companies on a variety of legal and business matters including structuring, negotiating and preparing documentation for various rounds of financings, development of form agreements for employees and consultants, customers, suppliers, integration partners, and license agreements with strategic partners.
  • Represented a fund in its $40MM Series A round in a biopharmaceutical company specializing in the development of novel therapeutics to treat rare metabolic diseases.
  • Represented a company in connection with Series A and B round investments in a clinical-stage company, which develops novel therapeutics in oncology and other diseases.
  • Represented a biotechnology company in its $50MM Series A round.
  • Represented a digital pathology start-up on multiple venture capital financing rounds and its eventual sale to a global diagnostics company.
  • Represented lead investor in $5MM Series Seed financing for pre-clinical drug development company.
  • Represented health care IT company in its $25MM Series C financing.
  • Represented health care IT company in its $50MM Series E Financing.
  • Legal counsel to a lead investor on secured and unsecured debt financing provided to a technology company in excess of $35MM.
