Brian Coughlin is an associate in Ice Miller’s Business Group.
Prior to joining Ice Miller, Brian played a key role in founding the dedicated Purchase Agreement Advisory group in the Strategy & Transactions practice of a multinational accounting firm based in Chicago. In this role, he advised corporate and private equity clients on domestic and international transactions, including M&A, reorganizations and carve-outs.
Brian advised buyers and sellers on the key value-drivers of deals that determine the final purchase price, including cash, debt and working capital. Brian’s experience also includes advising on closing mechanism procedures, including locked boxes, working capital true-ups, post-close disputes and R&W insurance.
Brian began his legal career at a Chicago law firm where he focused his practice on broad-based commercial litigation matters, including antitrust violations and shareholder disputes.
Brian earned his juris doctor from Loyola University Chicago School of Law with a certificate in tax law. During law school, he participated in the National Tax Moot Court Competition and the Honors Appellate Advocacy Program. Brian earned his Bachelor of Arts from Indiana University.
He enjoys mountain climbing in his free time and has successfully summited Mount Kilimanjaro in Tanzania and Mount Rainier in Washington State. Brian and his wife are Court Appointed Special Advocates in Lake County, Illinois where they represent the best-interest of children involved in the court system.
