Ian Minkin serves as of counsel in Ice Miller’s Employee Benefits Group. His practice includes qualified retirement plans and corporate transactions as well as executive and equity compensation.
 
Ian counsels employers and plans fiduciaries with respect to qualified retirement plans, including day-to-day compliance issues, participant communications and government filings, IRS and DOL audits and correcting plan errors under the available correction programs.
 
In the corporate transactions area, Ian advises publicly traded and privately held companies and their senior executives on employee benefits and executive compensation matters, including in connection with stock and asset acquisitions and divestitures, mergers, reorganizations and large equity investments. His experience includes devising and analyzing the treatment of pension and welfare plans, equity compensation programs (such as stock options, stock appreciation rights, restricted stock and phantom stock plans) and other executive arrangements (e.g., employment, severance, and change in control agreements) in the course of a transaction. He also negotiates transaction documents.
 
In the executive and equity compensation area, Ian has represented companies and individuals in establishing, negotiating and tax-planning with respect to employment, severance, retention and change in control agreements, nonqualified deferred compensation plans, equity-based compensation and other executive and incentive compensation arrangements. He has significant experience with Sections 409A, 280G and 162(m) of the Internal Revenue Code, both from the planning perspective as well as mitigating any potential exposure.
 
Ian received his Bachelor of Science in Mathematics from the University of Southern California. He earned his Juris Doctor and Master of Laws (LL.M.) degrees from the Boston University School of Law.
