Scott Gates

Scott is an associate in Ice Miller’s Business Group and a member of its Software, eCommerce, and Technology Transactions (SeCT) team. He counsels clients on the legal and commercial aspects of technology transactions, with a focus on:

• Software-as-a-Service (SaaS) and other cloud service agreements, including enterprise subscriptions, platform integrations, and professional services;
• Launching and scaling e-commerce platforms, including vendor onboarding structures, commercial terms, and compliance with platform policies;
• Commercialization of technology and other IP assets, including licensing transactions and strategic partnerships; and
• Privacy and data security matters, including drafting and negotiating data processing agreements and advising on privacy policies.

Scott helps clients simplify their contracting processes to remove friction in sales and procurement cycles. This includes developing scalable contracting frameworks, refining standard terms, and aligning legal workflows with business objectives.
