Edward Braum

Ed Braum serves as deputy managing partner of Ice Miller and is a partner in the firm’s Business Group. A recognized leader in the private equity market, Ed advises private equity and venture capital investors, founders, management teams and companies across the full lifecycle of investment and growth. His experience includes early-stage and growth equity financings, tender offers, leveraged buyouts, recapitalizations, mergers, acquisitions, and divestitures. He also serves as outside general counsel to numerous private companies.

Ed’s practice spans a broad range of industries and business models, with particular depth in health care, life sciences, and professional services. He regularly represents pharmaceutical, biotechnology and gene therapy companies; medical product and device companies; pharmaceutical consulting businesses; contract research organizations; clinical research sites; clinical laboratories; health care IT companies; ambulatory surgery centers; and medical and dental practice management organizations. He also advises accounting firms, law firm platforms, legal services businesses, and other professional services organizations pursuing investment, consolidation, and growth strategies.

A significant part of Ed’s practice focuses on the intersection of private capital, regulated industries, and complex ownership structures. Drawing on extensive experience with traditional health care MSO models and their evolving application to accounting, legal and other professional services businesses, Ed works with investors, founders and management teams to structure acquisitions, recapitalizations, platform formations, add-on transactions, and other transformative growth initiatives. He helps clients navigate the ownership, governance, regulatory, and operational issues that arise as businesses attract institutional capital, scale across markets, and pursue consolidation strategies.
