Ahead of any prepack filing, a practitioner should figure out who might make trouble along the path to finding solutions, then strategize proper responses, Aaron Stulman of Ice Miller LLP said.

"You're looking for the party that is getting screwed. Who is getting the raw end of the deal, how litigious are they," and what arguments they may martial in opposition, he said.

"You want to have an ability to look at the whole picture. You want to be able to look long term" while also keeping your eye on the present moment, Stulman said.

"One thing that I guess I've learned is don't underestimate your client," he said.

Clients are experienced in their industries and bring with them existing relationships, including a greater familiarity with the other parties who would be involved in a Chapter 11 filing. Stulman has had clients walk in the door seeking a prepack and — despite the attorney's own hesitance about the prospect — resolute that they could work one out, only for Stulman to learn a thing or two, he said.

"I thought, 'I don't know if that's reality,' and I was surprised to find out — three weeks or a month later — they were able to check their boxes and get to where they needed to get the thing filed," Stulman recalled.
