Brian Korman is an associate in Ice Miller’s Business Group, where he focuses his practice on private equity investments, mergers and acquisitions and complex corporate transactions. Brian routinely represents private equity funds and their portfolio companies, as well as independent sponsors, family offices, privately held businesses and other financial and strategic buyers. Brian specializes in providing trusted strategic and legal advice for his clients’ investment and corporate strategies across a range of transactions, including leveraged buyouts, platform acquisitions, add-on acquisitions, divestitures, mezzanine financings, growth capital transactions, early and late stage private equity investments and secondary transactions. Brian also advises these investors in connection with the management of their portfolio companies. Additionally, Brian represents privately held, closely held and family-owned businesses in connection with the sale of their companies.
Brian is active in his community and understands the importance of giving back to those around him. He currently serves on the firm's Community Involvement Committee and also serves on the Board of Directors for Bench Mark Program, a Lancaster, Pennsylvania based non-profit organization serving at-risk youth.
In 2012, Brian graduated from Shippensburg University with a Bachelor of Science in Business Administration (B.S.B.A.) with a dual concentration in Finance and Marketing. He earned his juris doctor, summa cum laude, from Elon University School of Law in 2016 where he also served as class valedictorian.

Private Equity M&A
- Represented National Mitigation & Restoration (“NMR”) with its acquisition of Advanced Restoration, Inc. and ProFire, LLC Representation of NMR, a portfolio company of White Wolf Capital, a Miami-based private equity firm focused on management buyouts, recapitalizations and investments in leading middle market companies, in the simultaneous acquisition of Advanced Restoration, Inc., a restoration, mitigation and mold-remediation business based in Florida, and ProFire, LLC, a fire, water and storm damage restoration and remediation business based in Georgia. Also, served as company counsel to NMR in a variety of corporate matters, including with respect to employment matters, equity and debt financings, and other outside general counsel matters.
- Represented DCCM (“DCCM”), a portfolio company of White Wolf Capital, in the acquisition of Alliance Transportation Group Representation of White Wolf Capital and DCCM, a provider of design, consulting, and program & construction management professional services, in its acquisition of Alliance Transportation Group, LLC, a transportation engineering, consulting, and planning services firm based in Texas serving both public and private sector clients across 28 states.
- Represented Devonshire Partners, in the acquisition of Hawkins Service Company Representation of Devonshire Partners, a private investment firm that focuses on founder and family-backed businesses in the United States, in its acquisition of Hawkins Service Company, a privately-owned multi-disciplinary contractor providing electrical, HVAC, plumbing, gas and specialty pool services to the West coast of Florida. Also served as company counsel to Hawkins Service Company in a variety of corporate matters, including with respect to employment matters, equity and debt financings, and other outside general counsel matters.
- Represented Kalbot Holding Company in Geotechnical Drilling Acquisition Representation of Kalbot Holding Company, an independent financial sponsor that invests in lower middle market industrial businesses with a focus on the Environmental and Industrial Services sectors, in connection with the acquisition of a geotechnical drilling company located on the west coast.
- Represented Boathouse Capital LP in equity investment in Spark Hire Representation of Boathouse Capital LP in a growth equity investment in Spark Hire, Inc., a SaaS video-based interview platform in the HR technology sector.

- Representation of Boathouse Capital, a structured capital fund focused on providing bespoke capital solutions to high growth and later stage companies in the Software / SaaS, Tech-Enabled Services, and Healthcare IT / Services industries, in a variety of investment transactions, including senior and subordinated debt and minority equity investments.
- Representation of RF Investments, a New York and Chicago-based Small Business Investment Company Fund, in multiple debt and equity investments in lower-middle-market companies.
