The Challenge

As utility capital investment accelerates across the country with projected U.S. utility capital expenditure reaching an estimated $1.3–1.4 trillion through 2030, platform companies in the energy infrastructure space are racing to scale their capabilities. Critical Energy Infrastructure Services (CEIS), formed by White Wolf Capital in 2022 to serve the critical energy infrastructure industry, had already completed three strategic acquisitions and was ready to add a fourth.

CEIS identified One Tech Engineering & Power, a national provider of outsourced utility field and construction services founded in 1982 as an ideal addition to expand its field execution and safety capabilities. But executing an add-on acquisition of this scale required more than a strong strategic fit. It demanded experienced private equity counsel who could navigate a complex transaction efficiently, coordinate acquisition financing, and protect the client's interests through closing all while maintaining the deal momentum essential in a competitive, fast-moving sector.

The Solution

Ice Miller's Private Equity practice, led by practice chair Thomas Kesoglou, represented CEIS in its acquisition of One Tech Engineering & Power. Drawing on deep experience advising private equity sponsors and their portfolio companies, the Ice Miller team guided CEIS through the full transaction lifecycle from diligence and structuring through negotiation and closing.

The deal was structured alongside a broader financing arrangement, with senior secured financing supporting both the refinancing of CEIS's existing debt and the acquisition itself requiring careful coordination among the client, its private equity sponsor, and its lenders. Ice Miller's team worked to keep the transaction on track and aligned with CEIS's long-term platform growth strategy.

The Results

On June 30, 2026, CEIS successfully closed its acquisition of One Tech Engineering & Power, the platform's fourth acquisition since its formation, following Rayne Staffing, Clover Leaf Solutions, and IEM Energy Consultants.

The transaction meaningfully expands CEIS's ability to support utilities and infrastructure owners across the full project lifecycle — from planning and permitting through construction and safe project delivery — adding field execution capacity across seven specialized roles, including engineers, designers, project managers, superintendents, inspectors, field operations specialists, and safety professionals. With One Tech's more than four decades of experience now part of the platform, CEIS is well positioned to capture growing demand as energy infrastructure investment accelerates nationwide.
